Policy Statement<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Solutions Yarona Trading &amp; Projects (Pty) Ltd (\u201cthe Company\u201d) is committed to conducting business with integrity, transparency, and in full compliance with all applicable anti-bribery and anti-corruption laws, including but not limited to the\u00a0<strong>Prevention and Combating of Corrupt Activities Act (PRECCA) No. 12 of 2004<\/strong>\u00a0and the\u00a0<strong>Companies Act No. 71 of 2008<\/strong>.<\/p><p class=\"ds-markdown-paragraph\">Bribery and corruption in any form are strictly prohibited. This policy applies to all employees, directors, contractors, suppliers, agents, and any other third parties acting on behalf of the Company.<\/p><h2><strong>2. Definition of Bribery<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Bribery involves offering, giving, receiving, or soliciting any undue advantage (financial or non-financial) to influence a business decision or gain an improper benefit. This includes, but is not limited to:<\/p><ul><li><p class=\"ds-markdown-paragraph\">Cash payments or kickbacks<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Gifts, hospitality, or entertainment intended to influence decisions<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Facilitation payments (&#8220;grease payments&#8221;) to expedite routine services<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Political or charitable contributions used to conceal bribes<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Unauthorized commissions or favors<\/p><\/li><\/ul><h2><strong>3. Prohibited Conduct<\/strong><\/h2><p class=\"ds-markdown-paragraph\">All employees and associated persons must\u00a0<strong>never<\/strong>:<\/p><ul><li><p class=\"ds-markdown-paragraph\">Offer, promise, or give a bribe (directly or through a third party).<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Request, agree to receive, or accept a bribe.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Engage in any activity that might lead to a breach of this policy.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Falsify records or misrepresent transactions to conceal bribery.<\/p><\/li><\/ul><h2><strong>4. Gifts, Hospitality &amp; Entertainment<\/strong><\/h2><p class=\"ds-markdown-paragraph\">The Company recognizes that reasonable and proportionate hospitality may be part of legitimate business relationships. However, such gestures must:<\/p><ul><li><p class=\"ds-markdown-paragraph\">Be transparent, infrequent, and of modest value.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Not create an obligation or expectation of favoritism.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Be properly recorded in the Company\u2019s books.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Comply with the recipient\u2019s organization\u2019s policies.<\/p><\/li><\/ul><p class=\"ds-markdown-paragraph\">Any gift or hospitality exceeding\u00a0<strong>ZAR 1,000<\/strong>\u00a0in value must be pre-approved by management.<\/p><h2><strong>5. Facilitation Payments<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Facilitation payments (small bribes to expedite routine services) are strictly prohibited, even if customary in certain regions. Employees must report any demand for such payments to management immediately.<\/p><h2><strong>6. Donations &amp; Sponsorships<\/strong><\/h2><p class=\"ds-markdown-paragraph\">The Company supports legitimate charitable and political activities, provided:<\/p><ul><li><p class=\"ds-markdown-paragraph\">Donations are not used to influence business decisions.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">They are transparent, properly documented, and comply with laws.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">No donations are made to public officials without legal approval.<\/p><\/li><\/ul><h2><strong>7. Third-Party Due Diligence<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Before engaging agents, consultants, or subcontractors, the Company will:<\/p><ul><li><p class=\"ds-markdown-paragraph\">Conduct risk-based due diligence.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Include anti-bribery clauses in contracts.<\/p><\/li><li><p class=\"ds-markdown-paragraph\">Monitor third-party relationships for compliance.<\/p><\/li><\/ul><h2><strong>8. Reporting &amp; Whistleblowing<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Employees and stakeholders must report any suspected bribery via:<\/p><ul><li><p class=\"ds-markdown-paragraph\"><strong>Direct Line Manager<\/strong><\/p><\/li><li><p class=\"ds-markdown-paragraph\"><strong>Compliance Officer<\/strong><\/p><\/li><li><p class=\"ds-markdown-paragraph\"><strong>Anonymous Whistleblowing Hotline:<\/strong>\u00a0<\/p><\/li><\/ul><p class=\"ds-markdown-paragraph\">The Company prohibits retaliation against good-faith whistleblowers.<\/p><h2><strong>9. Training &amp; Awareness<\/strong><\/h2><p class=\"ds-markdown-paragraph\">All employees will receive regular anti-bribery training to ensure understanding of this policy and legal obligations.<\/p><h2><strong>10. Consequences of Violations<\/strong><\/h2><p class=\"ds-markdown-paragraph\">Breaches of this policy will result in disciplinary action, up to and including termination and legal prosecution.<\/p><h2><strong>11.
