Anti-Bribery Policy<\/strong><\/h1>

Solutions Yarona Trading & Projects<\/strong><\/p>

1. Policy Statement<\/strong><\/h2>

Solutions Yarona Trading & Projects (Pty) Ltd (\u201cthe Company\u201d) is committed to conducting business with integrity, transparency, and in full compliance with all applicable anti-bribery and anti-corruption laws, including but not limited to the\u00a0Prevention and Combating of Corrupt Activities Act (PRECCA) No. 12 of 2004<\/strong>\u00a0and the\u00a0Companies Act No. 71 of 2008<\/strong>.<\/p>

Bribery and corruption in any form are strictly prohibited. This policy applies to all employees, directors, contractors, suppliers, agents, and any other third parties acting on behalf of the Company.<\/p>

2. Definition of Bribery<\/strong><\/h2>

Bribery involves offering, giving, receiving, or soliciting any undue advantage (financial or non-financial) to influence a business decision or gain an improper benefit. This includes, but is not limited to:<\/p>

  • Cash payments or kickbacks<\/p><\/li>

  • Gifts, hospitality, or entertainment intended to influence decisions<\/p><\/li>

  • Facilitation payments (“grease payments”) to expedite routine services<\/p><\/li>

  • Political or charitable contributions used to conceal bribes<\/p><\/li>

  • Unauthorized commissions or favors<\/p><\/li><\/ul>

    3. Prohibited Conduct<\/strong><\/h2>

    All employees and associated persons must\u00a0never<\/strong>:<\/p>

    • Offer, promise, or give a bribe (directly or through a third party).<\/p><\/li>

    • Request, agree to receive, or accept a bribe.<\/p><\/li>

    • Engage in any activity that might lead to a breach of this policy.<\/p><\/li>

    • Falsify records or misrepresent transactions to conceal bribery.<\/p><\/li><\/ul>

      4. Gifts, Hospitality & Entertainment<\/strong><\/h2>

      The Company recognizes that reasonable and proportionate hospitality may be part of legitimate business relationships. However, such gestures must:<\/p>

      • Be transparent, infrequent, and of modest value.<\/p><\/li>

      • Not create an obligation or expectation of favoritism.<\/p><\/li>

      • Be properly recorded in the Company\u2019s books.<\/p><\/li>

      • Comply with the recipient\u2019s organization\u2019s policies.<\/p><\/li><\/ul>

        Any gift or hospitality exceeding\u00a0ZAR 1,000<\/strong>\u00a0in value must be pre-approved by management.<\/p>

        5. Facilitation Payments<\/strong><\/h2>

        Facilitation payments (small bribes to expedite routine services) are strictly prohibited, even if customary in certain regions. Employees must report any demand for such payments to management immediately.<\/p>

        6. Donations & Sponsorships<\/strong><\/h2>

        The Company supports legitimate charitable and political activities, provided:<\/p>

        • Donations are not used to influence business decisions.<\/p><\/li>

        • They are transparent, properly documented, and comply with laws.<\/p><\/li>

        • No donations are made to public officials without legal approval.<\/p><\/li><\/ul>

          7. Third-Party Due Diligence<\/strong><\/h2>

          Before engaging agents, consultants, or subcontractors, the Company will:<\/p>

          • Conduct risk-based due diligence.<\/p><\/li>

          • Include anti-bribery clauses in contracts.<\/p><\/li>

          • Monitor third-party relationships for compliance.<\/p><\/li><\/ul>

            8. Reporting & Whistleblowing<\/strong><\/h2>

            Employees and stakeholders must report any suspected bribery via:<\/p>

            • Direct Line Manager<\/strong><\/p><\/li>

            • Compliance Officer<\/strong><\/p><\/li>

            • Anonymous Whistleblowing Hotline:<\/strong>\u00a0<\/p><\/li><\/ul>

              The Company prohibits retaliation against good-faith whistleblowers.<\/p>

              9. Training & Awareness<\/strong><\/h2>

              All employees will receive regular anti-bribery training to ensure understanding of this policy and legal obligations.<\/p>

              10. Consequences of Violations<\/strong><\/h2>

              Breaches of this policy will result in disciplinary action, up to and including termination and legal prosecution.<\/p>

              11. Policy Review<\/strong><\/h2>

              This policy will be reviewed annually and updated as necessary to reflect legal changes and best practices.<\/p>
