Welcome to Solutions Yarona Trading and Projects (PTY) LTD (“the Company,” “we,” “us,” or “our”). These Terms and Conditions govern your engagement with our construction services in South Africa. By accessing our services, you agree to comply with and be bound by these terms.
1. Definitions
“Client” refers to any individual or entity engaging the Company’s services.
“Services” include but are not limited to construction, renovations, project management, and related works.
“Contract” means the agreement between the Company and the Client for the provision of Services.
2. Acceptance of Terms
By engaging our Services, the Client agrees to:
Comply with these Terms and Conditions.
Provide accurate and complete project details.
Make timely payments as agreed.
3. Quotations & Contracts
All quotations are valid for 30 days unless otherwise stated.
A signed contract or written acceptance of the quotation is required before work commences.
The Company reserves the right to adjust pricing if project specifications change.
4. Payment Terms
A deposit (percentage to be specified) is required before work begins.
Progress payments will be invoiced at agreed milestones.
Final payment is due upon project completion and approval.
Late payments may incur interest at 2% per month or the maximum allowed by South African law.
5. Project Delays & Variations
The Company is not liable for delays caused by:
Client changes to project scope.
Unforeseen circumstances (force majeure).
Delays in approvals or materials.
Additional work requested by the Client will be charged as a variation and must be agreed in writing.
6. Warranties & Defects
The Company provides a 12-month warranty on workmanship (unless otherwise stated).
The Client must report defects in writing within 7 days of discovery.
The warranty does not cover damage caused by misuse, neglect, or third-party work.
7. Liability & Indemnity
The Company’s liability is limited to the value of the Contract.
The Client indemnifies the Company against claims arising from third-party work or Client negligence.
8. Termination
Either party may terminate the Contract with 30 days’ written notice.
If the Client terminates without cause, all costs incurred up to termination will be payable.
9. Dispute Resolution
Disputes will first be resolved through negotiation.
If unresolved, disputes will be referred to mediation or arbitration in accordance with South African law.
10. Governing Law
These Terms and Conditions are governed by the laws of South Africa, and any disputes will be subject to the jurisdiction of South African courts.
